1. Acceptance of these terms

These Terms of Service and Research Use Agreement (the "Agreement") form a binding contract between you and AxonPeps Research LLC ("AxonPeps", "we", "us"). By creating an account, checking the acceptance box, or placing an order, you agree to every provision below.

If you do not agree, do not create an account and do not order. We record the date, time, and version of the Agreement you accepted.

2. Eligibility — you must be 21 or older

You must be at least 21 years of age and legally capable of forming a binding contract. By accepting, you affirmatively represent that you meet both requirements.

We may refuse, suspend, or cancel any account or order where we have reason to believe the purchaser is underage or has misrepresented their eligibility.

3. Research use only — the core restriction

Every product sold by AxonPeps is supplied strictly for in-vitro laboratory research, forensic analysis, and preclinical scientific investigation by qualified persons.

• Products are NOT drugs, biologics, dietary supplements, food, or cosmetics.
• Products are NOT for human or veterinary consumption, ingestion, injection, inhalation, or topical application.
• Products are NOT intended to diagnose, treat, cure, mitigate, or prevent any disease or condition.
• Products have NOT been evaluated or approved by the U.S. Food and Drug Administration.
• No product may be resold, relabeled, or redistributed for human use.

4. Purchaser certification

By accepting this Agreement and by placing any order, you certify that:

• You are acquiring products solely for legitimate laboratory research purposes.
• You are a qualified researcher, or you are purchasing on behalf of a research institution, laboratory, or similar entity.
• You possess the training, facilities, and equipment necessary to handle research chemicals safely.
• You will not use, administer, resell, or supply any product for human or animal consumption.
• You are solely responsible for compliance with all federal, state, and local laws applicable to you, including any state-specific registration, licensing, or purchasing restrictions in your jurisdiction.

5. No medical, dosing, or administration advice

Nothing on our website, in our product descriptions, in communications from our staff, or in responses from our automated research assistant constitutes medical advice or guidance on human use.

We do not and will not provide dosing, administration, reconstitution-for-use, cycling, or protocol guidance for human or veterinary application. Product descriptions summarize published scientific literature for informational context only and are not claims about any effect in humans.

6. Prohibited conduct

You may not, and may not permit any third party to:

• Use, distribute, or administer products for human or veterinary consumption.
• Misrepresent your age, identity, credentials, or intended use.
• Resell products in a manner that violates this Agreement or applicable law.
• Circumvent, disable, or interfere with security features of the site, including age verification and access controls.
• Scrape, harvest, or systematically extract data from the site, or attempt to gain unauthorized access to any account, system, or database.

7. Orders, pricing, and right to refuse

All prices are in U.S. dollars and may change without notice. Placing an order is an offer to purchase; we accept by shipping. We may limit quantities, decline, or cancel any order at our sole discretion — including where we suspect fraud, non-research intent, an ineligible jurisdiction, or a pricing error.

Product availability, batch assignment, and certificate of analysis data are published on our COA Library. The batch identifier printed on your vial identifies the exact lot and its test results.

8. Subscriptions and automatic renewal

If you choose a Subscribe & Save option, you are enrolling in a recurring purchase that renews automatically at the interval shown at checkout, at the discounted price shown at checkout, until you cancel.

The recurring amount, frequency, and renewal nature are disclosed before you complete checkout, and your acceptance of them is a condition of enrollment. You may cancel at any time before the next billing date, with no cancellation fee, from your account dashboard or by contacting support — cancellation takes effect for the next unshipped cycle. We will send a renewal reminder before each shipment.

9. Payment

Payments are processed by third-party payment processors. Card details are entered on the processor's hosted page and are never transmitted to or stored on our servers. You represent that you are authorized to use the payment method you provide.

Chargebacks initiated in bad faith, including on delivered orders, may result in account termination and referral for collection.

10. Shipping, risk of loss, and returns

Title and risk of loss pass to you on delivery to the carrier. We ship cold-chain where the product requires it, but we cannot control carrier delays.

Because these are laboratory research materials, we cannot accept returns of opened, reconstituted, or used vials. If a shipment arrives damaged, is incorrect, or the vial's batch identifier does not match its published certificate of analysis, contact us within 14 days of delivery for a replacement or refund.

11. Disclaimer of warranties

PRODUCTS ARE PROVIDED "AS IS" FOR RESEARCH USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We warrant only that each batch conforms to the identity and purity results stated on its published certificate of analysis at the time of testing. We make no warranty of fitness for any human or veterinary application, and any such use is an unauthorized use that voids all warranties.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXONPEPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR RESEARCH, ARISING FROM OR RELATED TO THE PURCHASE, HANDLING, STORAGE, OR USE OF ANY PRODUCT.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless AxonPeps and its officers, employees, and suppliers from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of this Agreement, your misuse of any product, or any use of a product for human or veterinary consumption.

14. Dispute resolution and arbitration

Any dispute arising out of or relating to this Agreement will be resolved by binding individual arbitration administered under the rules of a recognized arbitration provider, rather than in court, except that either party may bring an individual claim in small claims court.

YOU AND AXONPEPS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

You may opt out of this arbitration provision by sending written notice to legal@axonpeps.us within 30 days of first accepting this Agreement. Opting out does not affect any other provision.

15. Governing law

This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles, and excluding the U.N. Convention on Contracts for the International Sale of Goods.

16. Privacy and data

Our Privacy Policy describes what we collect and why, and forms part of this Agreement. We retain records of your acceptance of this Agreement — including timestamp, IP address, browser user agent, and the version and content hash of the text shown to you — as evidence of the contract between us, and we retain order and batch records as required for regulatory and accounting purposes.

17. Changes to this Agreement

We may update this Agreement. Material changes will be published with a new version number and effective date, and continued use or a new order after the effective date requires fresh acceptance. Prior acceptances remain valid for the transactions they governed.

18. Termination, severability, and entire agreement

We may suspend or terminate your account at any time for breach of this Agreement. Sections 3, 4, 5, and 11 through 15 survive termination.

If any provision is held unenforceable, the remainder stays in force. This Agreement, together with the Privacy Policy and Research Use Policy, is the entire agreement between us and supersedes any prior understanding.
